Welcome to Boneek. Please read these Terms and Conditions (“Terms”, “Agreement”) carefully before registering an account, making a payment, or using any service offered on the Boneek platform (boneek.com.bd).
By creating an account or using the platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, please do not use the platform.
As used in these Terms: “Boneek”, “we”, “us”, or “our” refers to the company operating the Boneek platform. “Merchant”, “you”, or “User” refers to any individual or entity that accesses or uses the platform.

1.1 What is Boneek?
Boneek is a Bangladesh-based SaaS (Software as a Service) eCommerce operating platform that enables merchants to build and manage online stores, handle orders, collect payments, manage deliveries, and run dropshipping operations — all from a single unified dashboard.
1.2 Services Included
The Boneek platform includes, but is not limited to:

Boneek reserves the right to add, modify, or discontinue any feature or service at any time, with or without prior notice. We will make reasonable efforts to notify Merchants of significant changes.
2.1 Registration Requirement
To access and use Boneek’s services, you must create an account by providing accurate, complete, and up-to-date information as requested during the registration process.

To register an account, you must:

Each account is intended for use by a single individual or business entity. Creating accounts under false identities or impersonating others is strictly prohibited.
2.4 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials. Any unauthorised access or security breach must be reported to Boneek immediately. Boneek will not be liable for any loss arising from your failure to secure your account.
2.5 Right to Refuse
Boneek reserves the right to reject any account application or cancel an existing account at its sole discretion, without being required to provide a reason.
3.1 Subscription Plans
Boneek offers multiple subscription plans. Details of available plans, their features, and pricing are published on the Boneek Pricing Page and may be updated from time to time.
3.2 Activation
Your account is activated immediately upon successful payment, granting you full access to the features included in your selected plan.

Boneek reserves the right to revise subscription pricing at any time. Merchants will be given at least 30 days’ advance notice of any price change before it takes effect.
3.5 Payment Failure & Suspension
In the event of a failed or overdue payment, Boneek may suspend access to the platform until the outstanding amount is settled.
3.6 Taxes & Charges
All applicable taxes, duties, or third-party payment processing fees are the sole responsibility of the Merchant.
4.1 Business Ownership
You are fully responsible for the products and services sold through your Boneek store, including their legality, quality, accuracy of descriptions, and fulfilment. Boneek is a platform provider and is not a party to any transaction between you and your customers.
4.2 Prohibited Activities
You may not use the Boneek platform to:

All disputes arising between you and your customers — including delivery, product quality, returns, and refunds — are your sole responsibility. Boneek does not mediate or arbitrate merchant-customer disputes unless expressly agreed.
5.1 Third-Party Suppliers
Products listed on Boneek’s Dropshipping Marketplace are sourced from independent third-party suppliers. Boneek does not own, manufacture, or inspect these products and makes no warranties regarding their quality, availability, or delivery timelines.
5.2 Independent Relationships
The relationship between a supplier and a merchant is entirely independent. Boneek acts solely as a technology intermediary and is not responsible for the performance or conduct of any supplier.
5.3 Merchant Accountability
You remain solely responsible for the product descriptions, pricing, and representations made to your own customers, regardless of the information provided by the supplier through the platform.
5.4 Supplier Disputes
Boneek may, at its discretion, attempt to facilitate communication in supplier-merchant disputes, but is under no obligation to resolve or adjudicate such disputes.
6.1 Boneek’s Ownership
All technology, design, source code, brand identity, trademarks, logos, and platform content are the exclusive intellectual property of Boneek. Nothing in these Terms grants you any ownership rights over the platform.
6.2 Your Content
Content you upload to your store (product images, descriptions, logos) remains your property. By uploading content, you grant Boneek a non-exclusive, royalty-free licence to use that content solely for the purpose of operating and delivering the platform’s services.
6.3 No Infringement
You must not upload or use any content that infringes the intellectual property rights of any third party. You bear full legal liability for any such infringement.
6.4 Brand Usage
You may not use Boneek’s name, logo, or any identifying marks in any external material without prior written permission from Boneek.
7.1 Privacy Policy
Boneek’s collection, storage, and use of personal data is governed by our separate Privacy Policy, which forms an integral part of these Terms.
7.2 Data Security
We employ industry-standard security measures to protect merchant and customer data. However, no internet-based system can guarantee absolute security. Boneek will not be held liable for data breaches arising from circumstances beyond its reasonable control.
7.3 Merchant’s Data Obligations
You are responsible for ensuring that your collection and handling of your customers’ personal data complies with all applicable laws of Bangladesh.
7.4 No Sale of Data
Boneek will not sell your business data to third parties. Data may be used internally for platform operations and service improvement, and may be disclosed where required by law or regulation.
8.1 Exclusions
To the fullest extent permitted by applicable law, Boneek shall not be liable for:

In any event, Boneek’s total aggregate liability to you shall not exceed the value of your most recent subscription fee paid to Boneek.
8.3 As-Is Service
The Boneek platform is provided on an “as-is” and “as-available” basis. Boneek does not warrant specific business results, revenue outcomes, or uninterrupted service availability.
9.1 Merchant’s Indemnity
You agree to indemnify, defend, and hold harmless Boneek, its directors, employees, and agents from and against any claims, liabilities, damages, costs, or legal expenses arising from:

Boneek reserves the right to suspend or permanently terminate your account — with or without prior notice — in the event of:
10.2 Voluntary Cancellation
You may cancel your subscription at any time. Upon cancellation, your account will remain active until the end of the current billing period, after which access will be discontinued.
10.3 Data Retrieval After Termination
Following account termination or cancellation, you will have 30 days to download or export your business data. After this period, Boneek may permanently delete your data without further notice or obligation.
11.1 Integrated Services
Boneek integrates with various third-party services including courier companies, payment gateways, and product marketplaces. Each of these third parties is governed by their own independent terms and conditions, which you are responsible for reviewing and accepting.
11.2 No Liability for Third Parties
Boneek is not responsible for failures, pricing changes, service interruptions, or discontinuation of any third-party service. Any impact on your business arising from a third-party service failure is outside Boneek’s liability.
11.3 External Links
The platform may contain links to external websites. Boneek does not endorse or take responsibility for the content, privacy practices, or operations of any third-party website.
12.1 Right to Amend
Boneek reserves the right to modify or update these Terms at any time. The most current version will always be available at boneek.com.bd/terms.
12.2 Notice of Material Changes
For significant changes, Boneek will provide at least 14 days’ advance notice via email or a notice on the platform dashboard.
12.3 Continued Use = Acceptance
Your continued use of the platform following any amendment constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must cease using the platform and cancel your subscription.
13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the People’s Republic of Bangladesh.
13.2 Amicable Resolution
In the event of any dispute arising from these Terms or your use of the platform, both parties agree to first attempt resolution through good-faith negotiation within 30 days of the dispute arising.
13.3 Arbitration
If a dispute cannot be resolved through negotiation, both parties may agree to submit the matter to binding arbitration under mutually agreed rules.
13.4 Jurisdiction
Should arbitration fail or be inapplicable, the courts of Dhaka, Bangladesh, shall have exclusive jurisdiction over any legal proceedings arising from or related to these Terms.
14.1 Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable under applicable law, that provision shall be severed from these Terms without affecting the validity or enforceability of the remaining provisions.
14.2 No Waiver
Boneek’s failure or delay in exercising any right under these Terms shall not constitute a waiver of that right.
14.3 Entire Agreement
These Terms, together with the Refund Policy and Privacy Policy, constitute the entire agreement between Boneek and the Merchant with respect to use of the platform, and supersede all prior or contemporaneous agreements, representations, or understandings.
14.4 Non-Assignability
You may not assign, transfer, or sub-licence your rights under these Terms to any third party without Boneek’s prior written consent. Boneek may assign its rights under these Terms freely.
14.5 Language
These Terms are provided in both English and Bengali. In the event of any inconsistency between the two versions, the English version shall prevail.
